Terms & Conditions
By engaging West+Willow Creative Studio (“West+Willow”) for creative services, you agree to the following terms and conditions.
1. Services
West+Willow provides creative services including branding, graphic design, marketing collateral, website design, event branding, print design, illustration and ongoing creative support.
The specific scope, deliverables and pricing for each project will be outlined in a written quote, proposal or agreed monthly retainer.
Any work requested outside the agreed scope may be quoted and charged separately.
2. Quotes & Approval
Project work will commence once the quote has been approved and all required information, copy, assets and instructions have been supplied.
Quotes are valid for 30 days unless otherwise stated.
Approval of a quote, payment of a deposit or instruction to commence work is considered acceptance of these Terms & Conditions.
3. Payment
Invoices are payable within 7 days of the invoice date unless otherwise agreed in writing.
For larger projects, West+Willow may require a deposit or staged payments before work commences.
Final files, website handover or other completed deliverables may be withheld until outstanding invoices relating to the project have been paid in full.
Overdue accounts may result in work being paused until payment is received.
4. Monthly Retainers
Where a monthly retainer has been agreed, the retainer covers only the services and/or allocated hours outlined in the agreement.
Additional work, major projects or services outside the agreed retainer scope will be quoted separately.
Unless otherwise agreed, unused retainer hours do not automatically roll over into the following month.
5. Design Requests & Timelines
Clients are responsible for supplying final copy, images, logos, brand assets, specifications and other information required to complete the work.
Project timelines begin once all required content and approvals have been received.
Delays in supplying content, feedback or approvals may result in changes to the original delivery timeframe.
Urgent or priority work may incur an additional fee where agreed before commencement.
6. Revisions
The number of revisions included will be outlined in the relevant quote or proposal.
Revisions outside the agreed scope, significant changes in direction or requests made after final approval may incur additional charges.
A new concept or substantial change to an approved direction may be treated as additional work.
7. Cancellations
If a project is cancelled after work has commenced, the client will be invoiced for work completed up to the cancellation date.
Deposits already paid may be non-refundable where work has commenced or project time has been reserved.
8. Intellectual Property
All concepts, drafts and working files remain the property of West+Willow until the relevant invoices have been paid in full.
Once full payment has been received, the client receives the agreed rights to use the final approved deliverables for their intended purpose.
Unused concepts, preliminary designs, working files and design directions remain the property of West+Willow unless otherwise agreed in writing.
Third-party assets such as fonts, stock photography, software, templates or licensed graphics remain subject to their respective licence terms.
9. Portfolio Use
Unless otherwise agreed in writing, West+Willow may display completed work for promotional purposes, including on its website, social media, portfolio, proposals and other marketing materials.
Confidential or unreleased work will not intentionally be publicly shared before its agreed launch or release date.
10. Client Responsibilities
The client is responsible for ensuring that any copy, images, logos, trademarks or other materials supplied to West+Willow can legally be used.
The client is also responsible for reviewing and approving all final artwork, including spelling, contact details, dates, pricing and other information, before production or publication.
West+Willow is not responsible for errors that have been approved by the client.
11. Printing & Third-Party Suppliers
Where work is produced or delivered by a third-party supplier, printer, platform, hosting provider or other external service, West+Willow is not responsible for delays, outages, manufacturing variations or other issues outside its reasonable control.
Where applicable, clients should review and approve final proofs before printing or production.
12. Websites
Website projects include only the pages, functionality and services outlined in the approved quote.
Unless specifically included, ongoing hosting, domain fees, platform subscriptions, maintenance, software fees and third-party services are the client's responsibility.
Following final approval and handover, additional website updates, maintenance or changes may be quoted separately.
13. Communication
Project communication will be conducted through West+Willow's nominated business communication channels.
Clients should submit requests and feedback through the agreed process to ensure instructions are recorded accurately.
West+Willow's availability and response times may vary outside normal business hours.
14. Liability
West+Willow will take reasonable care in providing its services but cannot guarantee specific commercial, marketing, sales or business outcomes resulting from creative work.
To the extent permitted by law, West+Willow will not be liable for indirect or consequential loss arising from the use of its services or deliverables.
Nothing in these Terms & Conditions excludes rights or remedies that cannot legally be excluded under applicable Australian consumer law.
15. Agreement
By approving a quote, paying an invoice or deposit, or instructing West+Willow to commence work, the client acknowledges that they have read and accepted these Terms & Conditions.
